Acceptance of Terms
By accessing and utilizing ServSuwell.com and our services, you accept and agree to be bound by the terms, service level agreements (SLAs), and provisions of this agreement.
Service License
ServSuwell grants a non-exclusive, non-transferable license to use our proprietary software solutions solely for your internal business operations, subject to the terms of your agreed-upon Service Level Agreement (SLA). Under this license you may not:
- Reverse engineer, decompile, or disassemble any ServSuwell software.
- Resell, sublicense, or commercially exploit any service or solution.
- Use our services in any manner that violates local or international law.
Pricing and Payment
- Pricing for ongoing services is defined in your Master Service Agreement (MSA) and is subject to annual review/renewal.
- All consultancy fees are billed as per the agreed-upon project milestones.
- We reserve the right to suspend service for payments overdue by more than 30 days.
- We accept secure bank transfers and corporate credit accounts.
Service Level Agreement (SLA) and Warranties
We warrant that our solutions will perform substantially in accordance with the specifications set forth in your SLA. We offer a 99.9% uptime guarantee for all core software services, with specific remedies detailed in the full SLA document.
Limitation of Liability
In no event shall ServSuwell or its suppliers be liable for any indirect, consequential, or punitive damages (including, without limitation, loss of business data or profit) beyond the total fees paid by the client in the twelve (12) months preceding the claim, as defined in the MSA.
Governing Law
These terms and conditions are governed by and construed in accordance with the laws of the jurisdiction specified in the Master Service Agreement.
